Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Ethan McIntyre (“Parline”, “we”, “us”), the operator of the Parline bookkeeping application and the website at parline.app (together, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind it, and “you” includes that organization.

1. The Service

Parline is a double-entry bookkeeping tool. It lets you record transactions, maintain a chart of accounts and a general ledger, apply tags, build budgets, and generate financial statements and exports. Some features are available only on a paid plan (see Section 6).

Parline is software, not a service performed by an accountant, bookkeeper, tax preparer, auditor, or financial adviser. We do not review your books, prepare or file your taxes, or give accounting, legal, investment, or tax advice. Financial statements produced by the Service are unaudited and are only as accurate as the data you enter. You are solely responsible for the accuracy and completeness of your records and for compliance with all accounting standards, tax rules, and other laws that apply to you. Consult your own professional adviser.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • Accounts are created and authenticated through Google sign-in. You are responsible for keeping your Google account secure and for all activity under your Parline account. Notify us promptly at support@parline.app if you believe your account has been accessed without authorization.
  • One natural person per account. Do not share credentials.
  • You are responsible for anyone you invite to a set of books (“Books”) and for the roles and permissions you grant them.

3. Your data

Your Data” means everything you or your invited members submit to the Service: account and profile information, the contents of your Books (accounts, transactions, amounts, descriptions, dates, tags, budgets), uploaded images such as logos or banners, support messages, and similar content.

  • You own Your Data. We do not claim ownership of it.
  • You grant Parline a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Your Data solely to operate, secure, support, and improve the Service for you, and as described in the Privacy Policy. This license ends when Your Data is deleted from our systems, except for residual copies in routine backups and copies we must keep to comply with law.
  • You are responsible for having the rights necessary to submit Your Data and for ensuring that doing so does not violate any law or third-party right.
  • You are responsible for maintaining your own copies. The Service provides export features; use them. We are not a backup service.

4. AI-assisted import

The Service includes an “AI import” feature. Parline does not send Your Data to any artificial-intelligence or large-language-model provider. The feature builds a text prompt in your browser from your own chart of accounts. If you choose to copy that prompt, together with a bank statement, receipts, or other information, into a third-party AI tool, that is entirely your decision and is governed by your agreement with that tool’s provider. You are responsible for what you paste, where you paste it, and for reviewing the result before it is posted to your Books.

5. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service in violation of any law, or to record, conceal, or facilitate fraudulent, deceptive, or illegal activity;
  • upload malware, or attempt to gain unauthorized access to the Service, other users’ data, or our systems;
  • probe, scan, or test the vulnerability of the Service except under a written authorization from us;
  • interfere with or disrupt the Service, circumvent rate limits or usage restrictions, or place an unreasonable load on our infrastructure;
  • resell, sublicense, or provide the Service to third parties as a service bureau, except by inviting members to your own Books;
  • reverse engineer or decompile the Service, except to the extent that restriction is prohibited by applicable law;
  • scrape the Service or use it to build a competing product; or
  • remove or obscure any proprietary notices.

We may suspend or limit access if we reasonably believe your use threatens the security, integrity, or availability of the Service or violates these Terms.

6. Plans, billing, and payment

Free plan. The free plan includes the core bookkeeping features at no charge. We may change what is included in the free plan over time.

Pro plan. Pro is a paid subscription; the current price and what it unlocks are shown in the app and at checkout. The set of Pro features may change.

Payment processor. Payments are processed by Stripe. By subscribing you also agree to Stripe’s terms. We do not receive or store your full card number; Stripe does. We store a customer identifier, subscription status, plan, and billing-period dates.

Billing cycle and renewal. Pro subscriptions are billed in advance and renew automatically each period until cancelled. By subscribing you authorize us and Stripe to charge your payment method on each renewal.

Cancellation. You may cancel at any time from the billing page (which opens the Stripe customer portal). Cancellation takes effect at the end of the current paid period; you keep Pro access until then.

Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial periods, unused time, or features not used.

Failed payments. If a charge fails, Stripe will retry for a period. If payment is not resolved, the affected Books are downgraded to the free plan and Pro features are locked.

Price changes. We may change plan prices. We will give at least 30 days’ notice by email or in the app before a change takes effect for you, and the new price applies at your next renewal. If you do not agree, cancel before the change takes effect.

Taxes. Prices are exclusive of taxes. You are responsible for any sales, use, VAT, GST, or similar taxes, except taxes on our net income.

Comped access. We may grant Pro features to specific accounts at our discretion (for example, for testing or support). Comped access can be changed or withdrawn at any time.

7. Third-party services

The Service depends on third-party providers, including Google (sign-in), Stripe (payments), Supabase (database, authentication, and file storage), Vercel (hosting), and Resend (email delivery). Your use of the Service is also subject to those providers’ terms where applicable. We are not responsible for third-party services, and their availability or changes may affect the Service.

8. Intellectual property

The Service, including its software, design, text, and branding, is owned by Parline and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own bookkeeping. No other rights are granted.

Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

9. Term, suspension, and termination

These Terms apply while you have an account or use the Service.

  • By you. You may stop using the Service and delete your account at any time.
  • By us. We may suspend or terminate your access, with or without notice, if you materially breach these Terms, if required by law, or if your use poses a security or legal risk. We may also discontinue the Service, or any part of it, on reasonable notice.
  • Effect of termination. Pro features stop. For 30 days after termination you may request an export of Your Data by emailing support@parline.app. After that period we may delete Your Data, subject to routine backups and any records we must retain by law. Sections that by their nature should survive (including Sections 1, 3, 8, 10–14, and 16) survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CALCULATION, REPORT, STATEMENT, OR EXPORT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES, INCLUDING TAX FILING, REGULATORY REPORTING, OR AUDIT. YOU ARE RESPONSIBLE FOR VERIFYING YOUR BOOKS AND FIGURES.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PARLINE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, TAX PENALTIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
  • PARLINE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

These limits apply regardless of the theory of liability and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You will defend, indemnify, and hold harmless Parline and its owners, employees, and contractors from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) Your Data, (b) your use of the Service, (c) your violation of these Terms or of any law or third-party right, or (d) a dispute between you and someone you invited to your Books.

13. Changes to these Terms

We may update these Terms. If a change is material, we will give notice by email or in the app before it takes effect. Changes are effective on the “Last updated” date unless stated otherwise. Your continued use of the Service after a change takes effect means you accept the revised Terms. If you do not agree, stop using the Service.

14. Governing law and disputes

These Terms are governed by the laws of Michigan, United States, without regard to its conflict-of-laws rules, and excluding the U.N. Convention on Contracts for the International Sale of Goods.

Informal resolution first. Before filing any claim, you agree to contact us at support@parline.app and try in good faith to resolve the dispute for at least 30 days.

Venue. Subject to the above, you and Parline agree to the exclusive jurisdiction of the state and federal courts located in Washtenaw County (Ann Arbor), Michigan, United States for any dispute not otherwise resolved. There is no binding-arbitration clause or class-action waiver in these Terms.

15. Consumer rights

Nothing in these Terms limits any non-waivable statutory rights you have as a consumer under the laws of your country or region.

16. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Parline about the Service and supersede any prior agreement on that subject.
  • Severability. If any provision is held unenforceable, the rest remains in effect and the unenforceable provision is modified to the minimum extent needed.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Notices. We may give notice by email to the address on your account or by posting in the app. You may reach us at support@parline.app.
  • Relationship. The parties are independent contractors. These Terms create no partnership, agency, or employment relationship.
